Terms of Service

These Terms of Service ("Terms") govern your access to and use of InvestigationOS ("Service"). By creating an account or using the Service, you agree to these Terms on behalf of yourself or the Organization you represent.

1. Account & eligibility

You must be at least 18 years old and able to enter into a binding contract. The person who registers the Organization represents that they are authorized to act on behalf of the Organization. Each user must keep their credentials confidential and is responsible for activity under their account.

2. Subscription & billing

  • The Service is offered on a paid subscription basis. Pricing is shown on the platform at signup.
  • Subscriptions auto-renew at the end of each billing period unless canceled. You may cancel any time before the next renewal.
  • Fees are non-refundable except where required by law.
  • Failed payments may result in suspension or termination of the Service after notice.
  • We reserve the right to change pricing on 30 days' notice; changes take effect at the next billing period.

3. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable law.
  • Attempt to access another tenant's data or to bypass authentication or authorization controls.
  • Reverse engineer, decompile, or disassemble the Service.
  • Upload viruses, malware, or other harmful code.
  • Use the Service to send unsolicited commercial communications.
  • Harass, threaten, or harm any other user.
  • Resell or sublicense the Service without our written permission.

4. Customer data & ownership

You retain all rights to the data your Organization uploads ("Customer Data"). You grant InvestigationOS a limited license to host, process, and display Customer Data solely to provide the Service. We do not access Customer Data except as necessary to operate the Service, respond to support requests, or comply with law.

5. Sensitive information

The Service is designed for case management and investigation workflows but is not a HIPAA-compliant platform. Do not upload Protected Health Information (PHI), payment card data (PCI), or government classified information unless you have signed a separate written agreement with us covering such use.

6. Service availability & support

We target 99.9% monthly uptime, exclusive of scheduled maintenance. Support is provided via email at standard business hours and additional channels for higher-tier subscriptions.

7. Intellectual property

The Service, including its software, design, branding, and documentation, is owned by InvestigationOS and protected by copyright and other laws. Your subscription grants you a non-exclusive, non-transferable license to use the Service for the duration of your active subscription.

8. Confidentiality

Each party agrees to keep the other's confidential information in confidence and use it only as necessary to perform under these Terms. This obligation survives termination.

9. Termination

  • You may terminate your subscription any time through your billing settings.
  • We may terminate or suspend access immediately for material breach, including non-payment, abuse, or security violations.
  • Upon termination, your access ends and we will retain Customer Data for up to 90 days before deletion (see Privacy Policy).

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVESTIGATIONOS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY ARISING FROM OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless InvestigationOS from any claims, damages, or expenses arising from your violation of these Terms or your misuse of the Service.

13. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles. Any dispute will be brought exclusively in the state or federal courts located in Delaware.

14. Changes to these Terms

We may revise these Terms from time to time. Material changes will be communicated by email or in-app notice at least 30 days before taking effect. Your continued use after the effective date constitutes acceptance.
